1. Nature of the Resto Services
Resto is a point-of-sale (POS), business-management, and hospitality software platform designed to support the daily operations of businesses.
Resto functionality may include:
• Point-of-sale.
• Orders and sales.
• Tables.
• Reservations.
• Kitchen operations.
• Menu and item management.
• Inventory.
• Employee roles and permissions.
• Customers and loyalty.
• Branches.
• Cash-drawer and expense management.
• Electronic invoicing.
• Reports and analytics.
• Customer displays.
• Digital menus.
• Self-ordering.
• Merchant ordering websites.
• Technical integrations with third-party systems and devices.
Resto is a software and technology provider and is not a bank, financial institution, payment company, digital-wallet provider, money-transfer provider, or payment processor.
2. Collection Methods Recorded in the POS
Resto may allow a merchant to record the collection method associated with a sale, including:
• Cash.
• Card.
• Bank transfer.
• Another collection method configured by the merchant.
This information is recorded for invoicing, reporting, sales reconciliation, and operational records.
Recording a collection method in Resto does not mean that Resto provides the underlying payment service or stores payment-card credentials.
3. Transaction and Reporting Records
Resto may retain operational records required for POS functionality, including:
• Transaction amount.
• Collection method.
• Transaction status.
• Transaction or reference number.
• Date and time.
• Order or invoice number.
These records do not include full card numbers, CVV/CVC security codes, card PINs, or complete banking credentials.
4. Tap Payments
Tap Payments is not used inside the Resto POS iOS application to accept or process customer payments or to charge Resto subscription fees inside the app.
Tap is used in web-based scenarios including:
• Payment of Resto subscription fees through the Resto website.
• Online payments on a merchant's customer-facing ordering website where the merchant chooses to enable online payment.
The underlying payment service in those cases is provided by Tap Payments, not Resto.
Payment transactions are subject to Tap's own terms, privacy policy, and applicable requirements.
Resto may receive only the limited operational information required to confirm the transaction status or associate it with the relevant subscription or order.
5. Nearpay in the iOS Application
The Resto POS iOS application may support a technical integration with Nearpay Connect to communicate with a separate external payment terminal.
When card payment is selected:
1. Resto may transmit the transaction amount and required operational information to the external terminal.
2. The customer completes the payment on the separate external payment terminal.
3. The card number, PIN, and CVV are not entered into the Resto application.
4. The external terminal and payment provider perform the payment transaction.
5. Resto may receive the transaction result or reference after completion to update the relevant order, invoice, and report.
Resto therefore operates in this workflow as POS software communicating operationally with an external payment terminal, rather than as the provider of the payment service itself.
6. Financial Services Resto Does Not Provide
Resto does not:
• Hold customer funds.
• Hold merchant funds.
• Perform financial settlement.
• Transfer funds.
• Issue payment cards.
• Operate digital wallets.
• Provide bank accounts.
• Provide lending, credit, or financing.
• Act as a card issuer.
• Act as an acquiring institution.
• Store full card numbers, CVV/CVC codes, or card PINs.
7. Accounts and Users
Customers must provide accurate and current account information.
Customers are responsible for:
• Users created under their account.
• Permissions assigned to those users.
• Protecting login credentials.
• Activity performed through the account.
• Managing connected business devices.
Customers should notify Resto if they suspect unauthorized access.
8. Subscriptions and Fees
Certain Resto services may require a paid subscription.
The applicable subscription price, subscription period, included functionality, branch or POS limits where applicable, and any additional fees will be determined by the applicable plan, quotation, order, or agreement.
Resto subscription fees are not purchased or paid through Tap inside the Resto POS iOS application.
Web subscription billing and other approved business billing channels are handled outside the Resto POS iOS application.
9. Invoices and Taxes
Invoices for Resto services are issued based on information provided by the customer and applicable Saudi invoicing and tax requirements.
Customers are responsible for providing accurate commercial and tax information.
10. External Hardware
Resto may be used with third-party hardware, including:
• Receipt printers.
• Customer displays.
• Operational hardware.
• Separate payment terminals.
Third-party hardware remains subject to the specifications, warranties, and terms of the applicable manufacturer or provider.
11. Third-Party Services
Some Resto functionality may rely on or integrate with independent services, including:
• Tap Payments.
• Nearpay.
• The merchant's payment provider or bank.
• Hosting services.
• Cloud infrastructure.
• Messaging and notification services.
• Hardware providers.
The existence of a technical integration does not make Resto the provider of the independent service.
12. Customer Data
The customer retains its rights in data submitted to Resto.
The customer authorizes Resto to process that information to the extent required to provide and operate the Services.
The customer is responsible for having the appropriate authority and lawful basis to collect, upload, and process personal information through Resto.
13. Privacy
Personal information is handled in accordance with the Resto Privacy Policy.
The Privacy Policy supplements these Terms with respect to personal-data processing.
14. Acceptable Use
Users must not use Resto to:
• Conduct unlawful activities.
• Access systems or information without authorization.
• Attack, damage, or disrupt the Services.
• Upload or distribute malicious software.
• Violate third-party rights.
• Misuse the Services.
• Copy, distribute, or resell the platform without authorization.
• Reverse engineer or attempt to obtain source code except where expressly permitted by applicable law.
15. Intellectual Property
All intellectual-property rights relating to Resto's software, source code, designs, interfaces, trademarks, content, and technology systems remain with the applicable rights holders.
A Resto subscription provides a limited right to use the Services under the applicable plan or agreement and does not transfer ownership of the software.
16. Service Availability
Resto seeks to provide reliable service availability.
However, availability or functionality may be affected by:
• Maintenance.
• Internet outages.
• Network failures.
• Third-party services.
• Hardware failures.
• Circumstances outside Resto's reasonable control.
17. Suspension
Resto may suspend an account or functionality where reasonably necessary due to:
• Non-payment.
• Violation of these Terms.
• Security risks.
• Unlawful use.
• Misuse of the Services.
• A request from a competent authority.
Notice will be provided where reasonably appropriate and possible.
18. Account Closure
Customers may request closure of their accounts.
Account closure does not eliminate:
• Prior payment obligations.
• Outstanding invoices.
• Existing contractual obligations.
• Legal obligations that continue following closure.
Information following account closure will be handled according to the Privacy Policy.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Resto is not responsible for failures or losses directly caused by an independent third-party service outside Resto's reasonable control, including:
• A payment provider.
• A bank.
• Tap.
• Nearpay.
• A telecommunications provider.
• A hosting provider.
• External hardware.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
20. Changes to the Services or Terms
Resto may update its Services or these Terms where there are changes to services, features, business operations, or applicable legal requirements.
The latest revision date will be displayed on the relevant page.
21. Governing Law
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
Disputes are subject to the competent authorities and courts of the Kingdom of Saudi Arabia unless the parties validly agree otherwise where legally permitted.
